Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, industrial software systems, ERP connectors, and technical integration services provided by Mindron Robotics (“we”, “our”, or “us”).

By using our website, signing a system proposal, or deploying our robotic hardware on your shop floor, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or legal entity, you warrant that you possess the authority to bind that entity to these conditions.

All custom robotic cells, automated sorting machines, and SCARA assembly systems are manufactured and calibrated according to agreed specifications.

• Factory Acceptance Testing (FAT): Before shipping, machines are tested continuously for 48 hours. Shipments require client signature on the FAT validation sheet.
• On-Site Readiness: The client is responsible for preparing the floor space, electrical drops (meeting specified voltages), and safety boundaries prior to our engineers commissioning the system.
• Limited Warranty: We provide a 12-month mechanical warranty covering manufacturing defects. This warranty is voided if the system is modified by uncertified personnel or loaded beyond maximum rated payloads.

Our robotic systems contain embedded firmware, PyQt5 control dashboards, and ERP data connector software:

We grant you a limited, non-exclusive, non-transferable license to run the software solely as integrated with the purchased physical hardware. You may not reverse-engineer, decompile, or copy the control algorithms, motion planning files, or computer vision neural network models without explicit written authorization.

Software updates and remote telemetry calibrations are provided as described in your service level agreements (SLAs).

All content on our websites and platforms—including layout designs, CAD renders, custom end-of-arm tooling designs, mechanical concepts, PLC logic templates, logos, and written processes—is the exclusive intellectual property of Mindron Robotics.

Nothing in these terms transfers ownership of any patent rights, trademarks, or copyrights to you or your company unless explicitly detailed in a separate purchase contract.

When interfacing with our web forms, remote HMI interfaces, and cloud databases, you agree not to:

• Use systems in any manner that could disable, overburden, or compromise our servers or local hardware cells.
• Attempt unauthorized access to diagnostics streams, client firmware directories, or other customers' telemetry databases.
• Use neural network components or diagnostic logs to train competitive sorting or automated path-planning platforms.

Industrial automation carries inherent mechanical risks. In no event shall Mindron Robotics or its directors be liable for:

• Any loss of production, factory downtime, lost profits, or business interruption resulting from machine faults, joint calibrations, or emergency relay trips.
• Damage to raw materials (including diamonds or gemstones) processed by the automated classification or sorting systems.
• Direct or indirect injuries resulting from operating machinery with bypassed physical barriers or safety curtains.

Our total cumulative liability under any claim shall not exceed the amount paid by you for the specific hardware or software license that caused the dispute.

These Terms, along with any separate supply contracts, shall be governed by and construed in accordance with the laws of the State of Gujarat, India.

Any legal disputes, arbitrations, or actions arising from these terms or our hardware installations shall be resolved exclusively in the courts located in Surat, Gujarat, India.
